Corporate Governance
Whether on an interim or continuing basis, a Director from EGI with extensive Board experience is available to our clients to provide professional corporate governance, strategic thinking, and tactical foresight.
Acting as an investor representative, either working with other board representatives from your firm or acting on your behalf as your sole representative, an EGI Advisor can provide you with hands-on professional support and guidance. We are well versed in our fiduciary responsibility as Directors and have a track record of delivering value to shareholders under a variety of situations. As professional managers, we are also very effective in working constructively with the management teams of companies where we serve on the Board and can often achieve results not obtainable to less involved Board representatives.
Some typical situations where an EGI Advisor might be considered for a Director seat include:
- Participating as a co-investor.
- Providing a singular focus or outside, fresh look to a company as a value-add to the investment.
- Hands-on representation working with an existing management team in a Turnaround situation.
- Serving on the Board as a management liaison where EGI is also filling an interim management role.
- Stepping in to fill a Board seat when investor resources are stretched thin on other projects.
- Taking on a Board seat in a troubled investment where considerable involvement is required, thus allowing the private equity firm to maintain focus on the rest of the portfolio during this high intensity effort.
- Serving as a Board “observer” to represent investors in optimizing their investment returns.
- To guide a company through an exit or acquisition to ensure a successful transition of ownership.
